The rules and regulations for using Kua HR.

These Terms of Service ("Terms") govern your access to and use of the Kua HR platform, mobile applications, websites and related services (collectively, the "Service" or "Services") provided by Kua HR ("Kua HR," "we," "our" or "us").

Please read these Terms carefully. By creating an account, accessing or using the Services, or by clicking to accept these Terms when this option is presented to you, you agree to be bound by these Terms and any other policies referenced herein, including our Privacy Policy and Cookie Policy. If you do not agree to all of these Terms, do not access or use the Services.

1. DEFINITIONS

For the purposes of these Terms, the following definitions apply:

"Account" means an account created to access and use the Services. There are two primary account types: Administrator Accounts (created by a company's authorized representative) and End‑User Accounts (created for employees and other authorized individuals).

"Authorized User" means an individual who is authorised by a customer (such as an employer) to access and use the Services on behalf of that customer, including administrators, employees, agents, contractors and other personnel.

"Client" or "Customer" means the entity or individual that subscribes to or uses the Services for internal business purposes, typically an employer.

"Company Wallet" means the digital wallet or payment account maintained by the Client within the Services from which payroll and other authorised payments are made.

"Content" means any information, data, text, files, images, videos, audio, documents or other materials uploaded, posted, stored or transmitted through the Services by you, your authorized users or your employees.

"Confidential Information" means any data or information disclosed by one party to the other party that is marked or should reasonably be understood to be confidential, including business, technical, financial, employee or personal information. Confidential Information does not include information that (a) is or becomes public through no fault of the receiving party, (b) was lawfully known to the receiving party before disclosure, (c) is independently developed without use of Confidential Information or (d) is lawfully obtained from a third party without restriction.

"Employee" refers to individuals whose employment or service is managed using the Services and whose personal data, payroll details and HR information are processed on behalf of the Client.

"Fees" means any charges, commissions, subscription fees or other payments payable to Kua HR for use of the Services.

"Force Majeure Event" means an event or circumstance beyond the reasonable control of Kua HR that prevents or delays performance of obligations, such as natural disasters, government actions, acts of terrorism, labor disputes, power outages or failures of internet or telecommunications networks.

"Service Agreement" refers to any subscription order form, pricing plan, statement of work or other agreement between you and Kua HR describing your specific rights and obligations with respect to the Services.

"You" or "User" means any person accessing or using the Services, including Clients and Authorized Users.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

Legal Capacity and Minimum Age – You must be at least 18 years of age and possess the legal capacity to enter into binding contracts to use the Services. If you are registering or using the Services on behalf of a business or legal entity, you represent and warrant that you are duly authorised to bind that entity to these Terms.

Account Creation – To access certain features of the Services, you must create an Account by providing complete and accurate information. Administrator Accounts are created by company representatives, who can subsequently invite Authorized Users. End‑Users may be required to complete their profiles with personal data (e.g., bank details, employment details) to enable payroll processing.

Account Security – You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your Account. You agree to: (a) maintain the security of your password and access credentials; (b) ensure that Authorized Users use strong, unique passwords; (c) immediately notify Kua HR if you discover or suspect any unauthorised access to your Account; and (d) log out from your account at the end of each session.

Account Information – You agree to provide true, accurate, current and complete information during the registration process and to update such information promptly if it changes. Kua HR reserves the right to require documentation verifying your identity, authorisation and the accuracy of any information provided.

Administrator Responsibility – Where you appoint Administrators, you are solely responsible for the actions taken by those Administrators and any Authorized Users they invite or manage. Administrators must ensure that all users comply with these Terms and must immediately disable access for any users who should no longer have access (e.g., terminated employees).

3. SERVICES AND SCOPE

3.1 Overview

Kua HR provides a suite of software‑as‑a‑service (SaaS) solutions designed to streamline workforce management, including:

  • Payroll Management – Calculation of employee wages, allowances, deductions, overtime, bonuses and other statutory contributions; generation of payslips; preparation of payroll summaries; and disbursement of salaries.
  • Statutory Compliance – Computation and remittance of taxes (e.g., Pay‑As‑You‑Earn (PAYE) tax), pensions, National Housing Fund (NHF) contributions and other mandatory deductions; generation of tax reports and compliance certificates.
  • HR Administration – Management of employee records, onboarding and offboarding workflows, leave and absence tracking, performance reviews, disciplinary actions, training and certification tracking, and HR document storage.
  • Employee Self‑Service and Financial Tools – Secure portals and mobile applications for employees to view payslips, request leave, update personal data, access earned wage advances or salary advances and manage a digital wallet.
  • Integrations – Connections with financial institutions, accounting software, banks and other third‑party services to facilitate payroll, tax filing and other transactions.

The Services are accessed via web and mobile interfaces, APIs and dashboards. Kua HR may introduce new services or modules, or modify existing services from time to time.

3.2 Beta Features

From time to time, we may invite Users to access pre‑release or beta features. Beta features are offered "as is" and may be changed, suspended or discontinued at any time. Your use of beta features is voluntary and subject to any additional terms we may specify.

4. LICENCE AND ACCESS RIGHTS

Limited Licence – Subject to your compliance with these Terms and any applicable Service Agreement, Kua HR grants you a revocable, non‑exclusive, non‑transferable, non‑sublicensable licence to access and use the Services during the term of your subscription solely for your internal business operations.

Ownership – Kua HR retains all rights, title and interest in and to the Services, including all software, source code, databases, functionality, designs, trademarks, service marks, logos, and any content provided by Kua HR (collectively, "Kua HR Content"). These Terms do not grant you any rights or licences except as expressly provided herein.

User Content – You retain all rights to Content you upload or input into the Services. You grant Kua HR a non‑exclusive, worldwide, royalty‑free licence to use, host, store, reproduce, modify, create derivative works (such as formatting or translation), display and distribute your Content solely for the purpose of operating and improving the Services, fulfilling our obligations, and as otherwise permitted by our Privacy Policy. You are responsible for ensuring that you have the right to grant this licence and that your Content does not infringe any third party's rights.

Restrictions – You agree not to: (a) resell, licence, rent, lease, transfer, assign, reproduce, distribute, host, publicly display, publicly perform, or otherwise commercially exploit the Services or any portion thereof; (b) copy or modify the Services (except to the extent necessary for permitted usage); (c) reverse engineer, decompile, disassemble or derive source code from the Services; (d) circumvent or disable any security or access controls; (e) use the Services to develop or offer a competing product or service; (f) remove or alter any copyright, trademark or other proprietary notices; or (g) allow others to do any of the foregoing.

5. CLIENT RESPONSIBILITIES AND OBLIGATIONS

Data Accuracy and Legitimacy – You are solely responsible for: (a) verifying the accuracy of salary amounts, tax identification numbers, bank account details and other payroll data; (b) ensuring that only legitimate employees and contractors are paid (no "ghost workers"); (c) maintaining sufficient funds in your Company Wallet to cover salaries, statutory deductions and fees; and (d) complying with all applicable labour, tax, social security and data protection laws. Kua HR is not liable for any payments made based on inaccurate or incomplete data you provide.

Compliance – You acknowledge that you remain responsible for your own legal and regulatory compliance. This includes ensuring that deductions, tax remittances and statutory contributions are correct; verifying employees' legal entitlement to work; and complying with obligations under the Nigeria Data Protection Regulation 2019 (NDPR), the Nigeria Data Protection Act 2023 (NDPA) and other applicable laws.

Use of Wallet – You authorize Kua HR to debit your Company Wallet to: (a) disburse salaries and allowances to employees' bank accounts; (b) remit taxes, pensions and other statutory deductions to relevant authorities; (c) collect service fees and wallet funding fees; and (d) settle any other charges you incur under these Terms. You are responsible for funding the wallet and ensuring that funds are available for scheduled payroll runs.

Review of Draft Payroll – Kua HR may provide draft payroll calculations for your review prior to finalization. You must thoroughly review all draft payslips and payment batches for accuracy and completeness. You accept full responsibility for approving or modifying draft payroll data before submission.

Employee and Authorised User Management – You must promptly remove access for employees, contractors or other Authorized Users who are no longer employed or authorised to use the Services. You must ensure that each Authorized User uses the Services only in accordance with these Terms and does not share login credentials.

No Illegal or Prohibited Use – You agree not to use the Services to engage in any fraudulent, unlawful or prohibited activities, including but not limited to money laundering, terrorist financing, human trafficking, tax evasion, salary splitting or payroll fraud. You must not process payments for fake or nonexistent employees, falsify payroll records or otherwise manipulate the Services for unlawful gain.

Cooperation for Compliance and Audits – You will cooperate with Kua HR and provide reasonable assistance, records and documentation to support compliance with audits, inspections or investigations by regulatory authorities and financial institutions, particularly in the context of anti‑money laundering (AML) and counter‑terrorism financing (CTF) laws.

Backup and Record Keeping – You should maintain backup copies of your Content, payroll reports and critical information. While Kua HR implements robust security and backup measures, we do not guarantee that data will never be lost or corrupted, and you remain responsible for maintaining your own records as required by law.

6. FEES, PRICING AND PAYMENT TERMS

Fee Structure – Unless otherwise specified in a Service Agreement, Kua HR may offer certain features of the Services free of charge and assess fees for other features, modules or usage. Because our pricing is subject to change as we evolve and expand our services, we do not list all fees here. The most up‑to‑date fee schedule is always available on the "Fees" or "Pricing" section of our website. It is your responsibility to review and remain informed about the current fees applicable to the Services. If there is a conflict between a published fee schedule and a Service Agreement executed with you, the Service Agreement controls.

Additional Services – Additional premium modules, integrations or features may be subject to separate subscription fees or usage‑based charges. Such fees and payment schedules will be set forth in the applicable Service Agreement or pricing plan.

Taxes and Deductions – You are responsible for any taxes, levies, duties or similar governmental assessments (including value added, sales or withholding taxes) associated with your purchases, transactions or use of the Services. All fees are exclusive of taxes unless otherwise indicated.

Billing and Payment – All fees and charges are payable in advance or as specified in your Service Agreement. You authorise Kua HR and our payment processors to charge the payment method(s) provided for recurring fees, transaction fees, wallet funding fees or any amounts due. If payment is not received when due, we may suspend or terminate your access to the Services.

Fee Changes – Kua HR may change its fee structure and pricing from time to time. Changes will not apply retroactively. We will provide at least seventy‑two (72) hours' notice by email, via our platform, or through other reasonable means before any fee increase or the introduction of new charges becomes effective. Because laws and regulatory guidance in different jurisdictions may require shorter notice periods, we reserve the right to provide more notice where commercially reasonable or required by law. Your continued use of the Services after the effective date of fee changes constitutes acceptance of the revised fees.

Refunds and Chargebacks – Fees paid are non‑refundable except as expressly set forth in a Service Agreement or required by law. Unauthorised chargebacks may result in suspension of your Account.

7. ACCEPTABLE USE AND PROHIBITED ACTIVITIES

Lawful Use Only – You agree to use the Services only for lawful business purposes and in compliance with all applicable laws and regulations (including labor, tax, AML/CTF, anti‑corruption, consumer protection and data‑protection laws).

Prohibited Conduct – You will not (and will not permit any person to):

  • Engage in any activity that is fraudulent, deceptive, harmful or illegal;
  • Use the Services to facilitate or attempt money laundering, terrorist financing or other criminal activity;
  • Process payroll for fictitious employees or individuals not actually employed by you;
  • Upload, post, store or transmit any viruses, malware, worms, trojans or other malicious code;
  • Attempt to gain unauthorised access to any systems or networks related to the Services or interfere with the operation of the Services;
  • Harvest or scrape data, or otherwise collect information about other users without their consent;
  • Transmit spam, phishing messages, advertising or promotional materials without authorisation;
  • Use the Services in a way that infringes or misappropriates Kua HR's or third parties' intellectual property or other rights;
  • Conceal or misrepresent your identity or your affiliation with any person or entity.

Security Responsibilities – You must implement and maintain appropriate security measures to protect your systems and data, including firewalls, anti‑virus software, and encryption where applicable. You are responsible for any unauthorised access or misuse of the Services caused by your failure to maintain adequate security measures.

Reporting Violations – You must immediately notify Kua HR of any actual or suspected breach of these Terms, security vulnerabilities, unauthorised access or other misuse of the Services.

Consequences – Violation of this Acceptable Use section may result in suspension or termination of your Account, deletion of Content, legal action and reporting to law enforcement or regulators.

8. THIRD‑PARTY SERVICES AND INTEGRATIONS

Third‑Party Providers – The Services may integrate or interoperate with third‑party software, hardware, banks and payment systems (collectively "Third‑Party Services"). Any procurement or use of Third‑Party Services is solely between you and the relevant third party. Kua HR does not endorse, control or assume responsibility for any Third‑Party Services, and your use of them is governed by the terms and privacy policies of those providers.

Data Sharing with Third Parties – To provide the Services, Kua HR may share certain personal data and transaction information with Third‑Party Services such as banks, payment processors, identity verification providers and tax authorities. You consent to such data transfers and agree to comply with all requirements for linking your bank accounts or payment methods.

Third‑Party Fees and Restrictions – Third‑Party Services may charge fees or impose restrictions. Kua HR is not responsible for any fees charged by third parties or any consequences resulting from your failure to comply with third‑party terms.

Liability – Kua HR shall not be liable for any disruptions, loss, damages, or claims arising from the performance or nonperformance of Third‑Party Services.

9. CONFIDENTIALITY

Obligations – Both you and Kua HR agree to (a) treat all Confidential Information received from the other party as strictly confidential; (b) not disclose or use Confidential Information for any purpose other than to perform obligations or exercise rights under these Terms; and (c) use at least the same degree of care that each party uses to protect its own confidential information (but not less than reasonable care).

Permitted Disclosures – Confidential Information may be disclosed to affiliates, employees, agents, consultants and professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in these Terms. Confidential Information may also be disclosed if required by law, regulation or court order, provided that the disclosing party (to the extent legally permitted) gives the other party prompt notice to allow it to seek protective measures.

Exclusions – The obligations of confidentiality do not apply to information that: (a) is or becomes public through no fault of the receiving party; (b) was already lawfully known to the receiving party; (c) is independently developed without reference to the disclosing party's Confidential Information; or (d) is rightfully obtained from a third party without restriction.

Return or Destruction – Upon termination of the Services or upon written request, each party will return or securely destroy the other party's Confidential Information in its possession, except as required to be retained by law or for compliance purposes (e.g., tax or regulatory record‑keeping).

10. DATA PROTECTION AND PRIVACY

Privacy Policy – Kua HR's collection, use, disclosure and protection of personal data are governed by our separate Privacy Policy, incorporated into these Terms by reference. By using the Services, you acknowledge and agree that personal data may be processed in accordance with our Privacy Policy.

Compliance with Data Laws – Kua HR complies with applicable data protection laws, including the NDPR, NDPA, and other relevant regulations. You are responsible for ensuring that you have the right to collect, process and transfer your employees' personal data to Kua HR, and that such data processing is lawful.

Cross‑Border Transfers – Personal data may be transferred to and processed in countries outside of Nigeria and the user's jurisdiction, as detailed in the Privacy Policy. Appropriate safeguards, such as standard contractual clauses and adequacy determinations, will be implemented for cross‑border transfers.

Data Subject Rights – You shall provide clear notices to employees about the processing of their personal data and facilitate employees' requests to exercise their data subject rights (e.g., access, rectification, deletion) as required by law. Kua HR may assist you in fulfilling such requests where technologically feasible.

Data Security – Kua HR implements administrative, technical and organisational measures to protect personal data from unauthorised access, disclosure, alteration or destruction. You agree to implement appropriate security measures on your systems and endpoints and to notify Kua HR immediately upon discovering any security breach.

11. INTELLECTUAL PROPERTY

Kua HR Property – All intellectual property rights in the Services, including software, algorithms, interfaces, tools, text, graphics, logos, trademarks and underlying technology, are owned by Kua HR or its licensors.

User Feedback – If you provide feedback, comments or suggestions about the Services ("Feedback"), Kua HR may use, modify and incorporate such Feedback into the Services without any obligation to you.

Trademarks – "Kua HR" and associated logos are trademarks of Kua HR. You must not use these trademarks without our prior written consent.

User Content – Except for the rights expressly granted to Kua HR under these Terms, nothing in these Terms transfers ownership of your Content. You represent and warrant that you have the necessary rights to grant the licences described herein and that your Content does not infringe or violate any third party's intellectual property or privacy rights.

Third‑Party Intellectual Property – The Services may include components owned by third parties. All such third‑party materials are subject to the licence terms provided by their respective owners, and you must comply with those terms when using such materials.

12. SERVICE AVAILABILITY, MAINTENANCE AND SUPPORT

Availability – Kua HR will make reasonable efforts to ensure that the Services are available with minimal downtime. However, we do not warrant that the Services will be uninterrupted, error‑free or immune from defects. Planned maintenance or system updates may require temporary service interruptions, and we will endeavour to notify you in advance.

Maintenance and Updates – Kua HR may perform scheduled maintenance, install updates, patches, bug fixes or modifications to the Services. Such updates are part of the Services and subject to these Terms.

Support – Kua HR provides customer support through email, chat, phone or an online support portal during normal business hours or as specified in a Service Agreement. We will use reasonable efforts to respond to support requests and resolve issues promptly.

Third‑Party Factors – Service availability may be affected by internet connectivity, network latency, or failures of third‑party systems (e.g., bank networks). Kua HR is not responsible for service interruptions or performance issues caused by factors beyond our control.

Change of Service – Kua HR reserves the right to modify, discontinue or add new features or services at any time without liability. Where such changes materially affect functionality or your use of the Services, we will provide reasonable notice.

13. DISCLAIMER OF WARRANTIES

As Is and As Available – The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Kua HR and its affiliates, licensors, agents and service providers expressly disclaim all warranties and conditions, whether express, implied, statutory or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, accuracy, quiet enjoyment, non‑infringement, and that the Services will meet your requirements or be uninterrupted, timely, secure, error‑free or virus‑free.

No Legal or Financial Advice – Kua HR does not provide legal, tax, accounting or financial advice. All calculations, reports and outputs are provided for informational purposes only. You should consult qualified professional advisers for legal or tax compliance. Kua HR's employees and representatives are not authorised to provide professional advice, and any comments or guidance they may offer should not be relied upon.

No Employment Guarantee – The provision of the Services does not create an employment, agency, joint venture or partnership relationship between Kua HR and you or any of your employees.

14. LIMITATION OF LIABILITY

Indirect and Consequential Damages – To the maximum extent permitted by applicable law, Kua HR shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, data, goodwill or other intangible losses arising out of or in connection with your use of or inability to use the Services, whether based on warranty, contract, tort (including negligence) or any other legal theory, even if Kua HR has been informed of the possibility of such damages.

Direct Damages Cap – In no event shall Kua HR's total aggregate liability for all claims arising from or related to the Services exceed the total amount of fees you paid to Kua HR in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees to Kua HR (e.g., if your use of the Services is free), Kua HR's aggregate liability shall not exceed one hundred U.S. dollars (US$100) or its equivalent.

User Data Errors – Kua HR shall not be liable for any damages arising from or related to errors in payroll submissions, bank account details, tax identification numbers or other data entered by you or your Authorized Users. You are solely responsible for verifying the accuracy of all data.

Third‑Party Services – Kua HR is not liable for any acts, omissions or failures of third‑party providers or for damages resulting from integration or reliance on Third‑Party Services.

Exclusions – Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above exclusions may not apply to you. Nothing in these Terms seeks to exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited.

Basis of the Bargain – The limitations and exclusions in this section form an essential basis of the bargain between you and Kua HR and will apply even if the remedies provided herein fail of their essential purpose.

15. INDEMNIFICATION

You agree to indemnify, defend and hold harmless Kua HR and its affiliates, directors, officers, employees, agents, licensors and service providers from and against any and all claims, demands, losses, liabilities, damages, judgments, settlements, costs and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use or misuse of the Services; (b) your breach of these Terms or any Service Agreement; (c) your violation of any applicable law, rule or regulation; (d) your Content or payroll data (including but not limited to claims that your Content infringes third‑party rights); or (e) your fraud, misconduct or gross negligence. Kua HR reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with us in defending such claims.

16. TERM, SUSPENSION AND TERMINATION

Term – These Terms take effect when you first access the Services and continue until terminated by either party in accordance with this section or as specified in a Service Agreement.

Suspension – We may suspend or limit your access to the Services (or a portion thereof) immediately and without prior notice if: (a) we reasonably believe that you have violated these Terms; (b) you fail to pay fees when due; (c) your account is subject to an investigation; (d) we detect unusual or suspicious activity; (e) required by law or a regulator; or (f) a third party on which the Services depend suspends or terminates its relationship with Kua HR. We will use commercially reasonable efforts to provide notice of suspension and to restore access once the cause of suspension is resolved.

Termination by You – You may terminate your account at any time by providing written notice to Kua HR and following the account‑closure procedures we may prescribe. Termination does not relieve you of any obligations to pay fees accrued or payable through the date of termination.

Termination by Kua HR – We may terminate your account or access to the Services for any reason upon 30 days' written notice or immediately if you breach these Terms, misuse the Services, engage in unlawful activities, or if we are required to do so by law or a regulator.

Effect of Termination – Upon termination: (a) your licence to access the Services will terminate immediately; (b) any outstanding fees and charges will become immediately due and payable; (c) we will maintain certain records as required by law, but will otherwise delete or anonymise your data in accordance with our Privacy Policy; and (d) sections that by their nature should survive termination (e.g., confidentiality, intellectual property, limitations of liability, indemnification and governing law) will continue to apply.

Exporting Data – Before terminating your account, you may request a copy of your data in a standard format. We may provide tools to assist in exporting payroll reports, employee records and other Content. Once your account is closed, we may not be able to recover or retrieve your data, so it is your responsibility to back up any data prior to closure.

17. CHANGES TO THE SERVICE AND THESE TERMS

Service Changes – Kua HR may modify, discontinue or add features to the Services at any time. We will use reasonable efforts to notify you of material changes that may adversely affect your use of the Services. Your continued use of the Services following the implementation of changes constitutes your acceptance of those changes.

Terms Changes – We may modify these Terms from time to time. If we make material changes, we will provide notice by updating the "Last Updated" date at the top of these Terms and/or by sending you an email or platform notification. Changes become effective when posted, and your continued use of the Services after changes take effect signifies your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and terminate your account.

Order of Precedence – In the event of a conflict between these Terms and a Service Agreement, the terms of the Service Agreement prevail. However, any modifications to these Terms must be agreed to in writing and signed by Kua HR to be binding.

Waiver and Delay – Any delay or failure by Kua HR to enforce any provision of these Terms shall not constitute a waiver of future enforcement.

Assignment – You may not assign or transfer these Terms or any rights or obligations hereunder without Kua HR's prior written consent. Kua HR may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.

18. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law – These Terms and any dispute or claim (including non‑contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Jurisdiction – You and Kua HR agree that the courts of competent jurisdiction in Nigeria shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, unless a specific Service Agreement provides for alternative dispute resolution mechanisms (e.g., arbitration).

Injunctive Relief – Notwithstanding the foregoing, Kua HR may seek injunctive relief or other equitable remedies in any jurisdiction to protect its intellectual property or Confidential Information.

Time to File Claims – To the fullest extent permitted by law, any claim or cause of action arising from the use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose; otherwise, it is permanently barred.

Dispute Resolution – Before filing a lawsuit, the parties agree to attempt in good faith to resolve any dispute through negotiation. If the dispute is not resolved within thirty (30) days, either party may pursue legal proceedings in accordance with this section.

19. FORCE MAJEURE

Kua HR shall not be liable for any failure or delay in performing its obligations under these Terms (except for payment obligations) if such failure or delay is caused by a Force Majeure Event. Kua HR shall notify you of the occurrence of a Force Majeure Event as soon as reasonably practicable and shall resume performance of its obligations once the event has ceased. If a Force Majeure Event continues for more than thirty (30) days, either party may terminate the affected Services upon written notice to the other party.

20. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal or unenforceable under applicable law, such provision shall be deemed deleted without affecting the remaining provisions. The remaining provisions shall continue in full force and effect, and a valid, enforceable provision that most closely reflects the parties' original intent shall replace the invalid provision.

21. ENTIRE AGREEMENT

These Terms, together with any applicable Service Agreement and the policies referenced herein, constitute the entire agreement between you and Kua HR regarding the subject matter hereof and supersede all prior or contemporaneous oral or written agreements and understandings. Any additional terms on purchase orders or other documents you provide will be of no force or effect unless expressly accepted in writing by Kua HR.

22. NOTICE AND COMMUNICATIONS

Notices by Kua HR – We may deliver notices to you by email, in‑platform messages, mobile push notifications or by posting them on our website. Notices are effective upon receipt or posting. It is your responsibility to keep your contact information current.

Notices by You – You must send all notices or demands required or permitted under these Terms in writing to Kua HR's registered address or via email to our designated contact addresses (see Section 23). Notices will be deemed delivered upon our receipt.

Language – All communications and notices under these Terms will be in English unless Kua HR explicitly allows another language.
